3. Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to:

4. Workspaces and Teams

Each account is associated with a workspace. Workspace owners are responsible for managing access, permissions, and all activities conducted within their workspace. You agree not to share workspace access with unauthorized individuals.

5. Credits and Payments

The Service operates on a credit-based system for AI-powered features. By purchasing credits or subscribing to a plan, you agree to the following:

• Pricing: All prices are displayed in the currency indicated at the time of purchase and are subject to change with prior notice.
• Purchases: Credit purchases and subscription payments are processed through our third-party payment processors. You agree to their respective terms of service.
• Non-refundable: Purchased credits are non-refundable except where required by applicable law or at our sole discretion.
• Expiration: Credits may have an expiration date as specified at the time of purchase. Expired credits cannot be restored or refunded.
• Usage: Credits are consumed when using AI generation features. The number of credits required per action is displayed before each use.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service to generate, distribute, or promote content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Generate content that infringes on intellectual property rights of any third party
• Use the Service to spam, mislead, or deceive others
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Use automated bots, scrapers, or other tools to access the Service beyond its intended use
• Circumvent or attempt to circumvent rate limits, credit systems, or other usage restrictions
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to generate content that violates Facebook's (Meta's) terms of service or community guidelines
• Resell, sublicense, or redistribute the Service or AI-generated content for the purpose of building a competing product

7. AI-Generated Content

The Service uses artificial intelligence to generate content. You acknowledge and agree that:

• No guarantee of accuracy: AI-generated content may contain errors, inaccuracies, or biases. You are solely responsible for reviewing and editing all content before publishing.
• Your responsibility: You are fully responsible for all content published through the Service to your social media accounts, whether AI-generated or manually created.
• Ownership: Subject to third-party rights and the terms of the AI models used, you retain ownership of the content you create and publish using the Service.
• License to us: You grant us a non-exclusive, worldwide, royalty-free license to use your content solely for the purpose of operating, improving, and providing the Service.
• No exclusivity: AI-generated content is not guaranteed to be unique. Similar content may be generated for other users.

8. Facebook (Meta) Integration

The Service integrates with Facebook (Meta) APIs. By connecting your Facebook pages to the Service, you agree to comply with Facebook's (Meta's) Platform Terms and Developer Policies. We are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.

You authorize us to access and manage your connected Facebook pages on your behalf, including publishing posts, retrieving page insights, and managing page content. You may revoke this access at any time through your Facebook settings or by disconnecting your pages within the Service.

9. Intellectual Property

The Service, including its design, features, code, documentation, logos, and branding, is owned by ContentVelo and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

"ContentVelo" and associated logos are trademarks of ContentVelo. You may not use our trademarks without prior written permission.

10. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time with reasonable notice
• Perform scheduled and unscheduled maintenance
• Update AI models, which may affect content generation results
• Adjust pricing, credit costs, and feature availability with prior notice

11. Account Suspension and Termination

We may suspend or terminate your account if:

• You violate these Terms or any applicable law
• Your account is used for fraudulent or abusive activity
• You fail to pay for purchased credits or subscriptions
• Upon your request to close your account

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes. Unused credits will not be refunded upon termination for cause.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTENTVELO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI-generated content will be accurate, complete, suitable for your purposes, or free from errors. We do not guarantee any specific results from using the Service.

14. Indemnification

You agree to indemnify, defend, and hold harmless ContentVelo and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ContentVelo operates, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good-faith negotiation, and if necessary, binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ContentVelo regarding the use of the Service and supersede any prior agreements or understandings.
